1. Introduction and Acceptance of Terms

Welcome to KOUKIS CARGO, an air cargo management platform operated by KOUKIS AVIATION ("we," "our," "us," or "Company"). These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User," "you," or "your") and KOUKIS AVIATION.

1.1 Agreement to Terms

By accessing, registering for, or using the KOUKIS CARGO platform and related services (collectively, the "Services"), you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific features or services.

1.2 Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal authority to enter into binding contracts
  • Represent a legitimate business entity in the air cargo industry
  • Comply with all applicable laws and regulations
  • Not be prohibited from using our Services under applicable law

1.3 Corporate Authorization

If you are using the Services on behalf of an organization:

  • You represent and warrant that you have authority to bind that organization
  • References to "you" include both you and the organization
  • The organization agrees to be bound by these Terms

1.4 Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes through:

  • Email notification to your registered email address
  • Platform notifications upon login
  • Updates posted on our website

Your continued use of the Services after such modifications constitutes acceptance of the updated Terms.

  • 99.9% uptime SLA (as specified in service agreement)

3. User Accounts and Registration

3.1 Account Creation

To access the Services, you must:

  • Complete the registration process
  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Comply with our verification procedures

3.2 Account Credentials

You are responsible for:

  • Maintaining the confidentiality of your username and password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Using strong passwords and enabling multi-factor authentication (MFA)

3.3 Account Types and User Roles

Different account types and user roles have varying access levels:

  • Administrator accounts
  • Sales and customer service users
  • Operations users
  • Finance and accounting users
  • Agent portal users
  • View-only accounts

4. Subscription and Fees

4.1 Service Plans

KOUKIS CARGO offers various subscription plans with different features, capacity limits, and pricing structures. Specific plan details are provided in your Service Agreement or Subscription Order.

4.2 Fees and Payment Terms

  • Subscription Fees: Monthly or annual fees as specified in your agreement
  • Usage Fees: Additional charges based on transaction volume, users, or features
  • Implementation Fees: One-time setup and configuration costs (if applicable)
  • Support Fees: Premium support services (if selected)
  • Customization Fees: Custom development or integration services

4.3 Payment Methods

Accepted payment methods include:

  • Credit card (automatic recurring billing)
  • Bank transfer / Wire transfer
  • ACH / Direct debit
  • Other methods as agreed upon

4.5 Taxes

All fees are exclusive of applicable taxes, duties, or levies (including VAT, GST, sales tax). You are responsible for all taxes associated with your use of the Services, except for taxes based on our net income.

4.7 Refund Policy

  • Subscription fees are non-refundable except as required by law
  • Refunds for service failures are governed by the Service Level Agreement (SLA)
  • Pro-rated refunds may be provided at our sole discretion
  • Refunds for annual subscriptions upon cancellation are not provided

5. Acceptable Use Policy

5.1 Permitted Use

You agree to use the Services only for:

  • Legitimate air cargo business operations
  • Lawful purposes in compliance with all applicable laws
  • Internal business use by authorized personnel
  • Purposes consistent with these Terms

5.2 Prohibited Activities

You must not:

  • Violate any applicable laws or regulations
  • Transport or facilitate illegal goods
  • Engage in fraud or money laundering
  • Violate customs or cargo regulations
Security Violations
  • Gain unauthorized access to systems
  • Introduce viruses or malicious code
  • Circumvent security measures
  • Use automated tools without authorization
Misuse of Services
  • Resell or sublicense access
  • Reverse engineer the platform
  • Create derivative works
  • Remove proprietary notices
Data Violations
  • Upload false or misleading data
  • Violate third-party privacy rights
  • Use scrapers or bots
  • Export data illegally

5.4 Consequences of Violations

Violations may result in:

  • Warning and required corrective action
  • Temporary suspension of Services
  • Permanent termination of account
  • Legal action and pursuit of damages
  • Reporting to regulatory authorities

6. Intellectual Property Rights

6.1 Our Intellectual Property

KOUKIS AVIATION retains all rights, title, and interest in:

  • The KOUKIS CARGO platform and software
  • All trademarks, logos, and brand elements
  • Documentation, training materials, and content
  • Proprietary algorithms and methodologies
  • System architecture and design
  • Any improvements or modifications we make

6.3 Your Data and Content

You retain all rights to the data and content you upload to the Services ("Your Data"), including:

  • Shipment information
  • Customer and agent data
  • Financial records
  • Business documents
  • Operational data

6.5 Aggregated Data

We may collect and use aggregated, anonymized data derived from use of the Services for:

  • Service improvement and optimization
  • Industry analytics and benchmarking
  • Research and development
  • Marketing and promotional purposes

Such aggregated data does not identify you or your organization.

7. Data Protection and Privacy

7.1 Data Processing

Our collection, use, and protection of your personal data and business information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.3 Data Security

We implement enterprise-grade security measures including:

  • End-to-end encryption (at rest and in transit)

  • Microsoft Azure security infrastructure

7.5 Data Backup and Recovery

  • Disaster recovery with RTO < 1 hour, RPO near real-time

12. Limitation of Liability

12.1 LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

IN NO EVENT SHALL KOUKIS AVIATION BE LIABLE FOR:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or information
  • Business interruption
  • Costs of substitute services
  • Damage to reputation or goodwill

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 CAP ON LIABILITY

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED:

THE GREATER OF:

  • (A) AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
  • (B) US$10,000

13. Indemnification

13.1 Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless KOUKIS AVIATION from claims arising out of:

  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your violation of third-party rights
  • Your Data or content uploaded to the Services
  • Your use or misuse of the Services
  • Your negligence or willful misconduct
  • Your cargo operations and business activities

13.2 Our Indemnification Obligations

We agree to indemnify you from third-party claims alleging that the Services infringe or misappropriate intellectual property rights, subject to specified conditions and procedures.

14. Term and Termination

14.1 Term

These Terms commence when you first access the Services and continue until terminated. Your subscription term is specified in your Service Agreement (monthly, annual, or multi-year).

14.2 Renewal

Unless you provide notice of non-renewal:

  • Subscriptions automatically renew for equivalent periods
  • Renewal is at the then-current rates
  • You authorize automatic billing for renewals

14.5 Effects of Termination

Upon termination or expiration:

Access:

  • Your access to Services ceases
  • User accounts deactivated
  • API credentials revoked

Data:

  • 30 days to export Your Data
  • Data may be deleted after export period
  • Backups deleted per retention schedule

Fees:

  • Liable for all fees incurred prior
  • No refunds for early termination
  • Outstanding balances immediately due

Survival:

  • Payment obligations
  • Indemnification
  • Limitation of liability
  • Dispute resolution

15. Dispute Resolution

15.1 Informal Resolution

Before initiating formal proceedings, the parties agree to:

  • Notify the other party in writing of the dispute
  • Attempt to resolve through good-faith negotiations
  • Escalate to senior management if needed
  • Negotiate for at least 30 days before formal resolution

15.6 Limitation Period

Claims must be brought within one (1) year after the claim arises or be forever barred.

16. General Provisions

16.1 Entire Agreement

These Terms, together with your Service Agreement, Privacy Policy, and any applicable addenda constitute the entire agreement between you and KOUKIS AVIATION.

16.10 Export Compliance

You agree to comply with all applicable export and import control laws, including:

  • U.S. Export Administration Regulations (EAR)
  • International Traffic in Arms Regulations (ITAR)
  • Economic sanctions and embargoes
  • Other applicable trade restrictions

16.16 Compliance with Laws

Both parties agree to comply with all applicable laws, including:

  • Aviation and cargo regulations (IATA, ICAO, TSA, etc.)
  • Data protection laws (GDPR, CCPA, etc.)
  • Anti-corruption laws (FCPA, UK Bribery Act)
  • Anti-money laundering regulations
  • Customs and import/export regulations

17. Definitions

"Account" - Your registered user account for accessing the Services.

"AWB" - Air Waybill, the document accompanying cargo shipments.

"Services" - The KOUKIS CARGO platform and related services.

"ULD" - Unit Load Device used in air cargo operations.

"User" - The individual or entity using the Services.

"Your Data" - Data, content, and information you upload to the Services.

18. Acknowledgment and Acceptance

BY USING THE SERVICES, YOU ACKNOWLEDGE THAT:
  • You have read and understood these Terms
  • You agree to be bound by these Terms
  • You have authority to enter into this agreement
  • You understand the limitations of liability and warranty disclaimers
  • You agree to the arbitration and class action waiver provisions
  • You consent to electronic communications and notices

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICES.
